monday.com-Base44 Integration Terms

The monday.com-Base44 Integration (“Integration”) allows users to build and integrate custom AI powered Third Party Apps  using services provided by Base44 Inc. (“Base44”). This Integration is offered to you as a pre-release beta service. It may be incomplete or implemented differently than other monday.com services. 

1. Governing Terms. These Base44 Integration Terms together with the monday.com Developer Terms (“Developer Terms”), and Base44 Terms and Conditions (“Base44 Terms”) which are incorporated herein by reference, govern your use of the Integration. These Terms prevail in case of contradiction with the referenced terms. 
2. Third Party Services. Parts of the functionality offered through the Integration is powered by Base44, which will receive access to your inputs and output processed via the Integration.  monday.com does not control, and is not responsible for, the availability, security, accuracy, or legality of the services provided by Base44. As between you and monday.com, you are solely responsible for your use of Base44 services, including via the Integration or use of outputs. 
3. Ownership. monday.com retains ownership of the monday.com-Base44 Integration or any monday.com Materials, including its technology, brand and intellectual property. All rights not expressly granted to you are expressly reserved.
4. Acceptable Use. Your use of the Integration shall be in accordance with Section 6 of the Developer Terms (Acceptable Use) and monday.com’s Acceptable Use Policy. 
5. Disclaimer of Warranties. MONDAY.COM DISCLAIMS ALL WARRANTIES AND REPRESENTATIONS WITH RESPECT TO THE INTEGRATION, AND ANY RELATED FEATURES, FUNCTIONALITIES, GENERATED CONTENT, CONFIGURATIONS, ACTIONS, OR RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE INTEGRATION. IT IS PROVIDED “AS IS,” “WITH ALL FAULTS,” AND “AS AVAILABLE,” WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED.
6. Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MONDAY.COM, ITS AFFILIATES, OR THIRD-PARTY PROVIDERS (INCLUDING BASE44) SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, OR FOR ANY LOSSES, INCLUDING PROFITS, BUSINESS OR DATA.IN ANY CASE, THE TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (USD $100).
7. Term and Termination. monday.com may, at its sole discretion and without liability to you, modify these Terms, or suspend or terminate the Integration or your access to any part thereof at any time.
