monday Spaces Terms of Use
Welcome to the monday.com Spaces (“monday Spaces”), monday Spaces enables you to share, publish and/or make available your and/or your organization’s Workspaces, which may include, Boards, Workdocs, Dashboard and all content in a Workspace (the “Space(s)”), with monday.com Users outside of your account.
These monday Spaces Terms of Use (“Terms”) are entered between monday.com Ltd. (“monday.com”, “us”, “we” or “our”) and you, either individually as applicable, or on behalf of your employer or any other entity which you represent (“you” or “your”), and together with our monday.com Terms of Service, and other applicable terms, govern use of the monday Spaces . In case you represent your employer or another entity, you hereby represent that (a) you have full legal authority to bind your employer or such entity (as applicable) as set forth herein; and (b) you read and understood these Terms, and accept them on behalf of your employer or the respective entity, as applicable. YOU DO NOT AGREE TO COMPLY WITH, AND BE BOUND BY, THESE TERMS OR IF YOU DO NOT HAVE AUTHORITY TO BIND YOUR EMPLOYER OR ANY OTHER ENTITY (AS APPLICABLE), DON’T ACCEPT THESE TERMS OR USE MONDAY SPACES.
1.Use of Space(s).
monday Spaces allows you to find ready-made Space(s) which may have been prepared or published by Users, community members, monday.com or any other third party, and use these Space(s) in your and/or your organization’s monday.com account.It is possible that no monitoring or moderation of space(s) will take place, and your usage of any Space is at your own risk, and there shall be no claim against us in connection with your use of Space(s).
2.Submission of Spaces.
2.1. You may share Spaces by submitting them directly from your and/or your organization’s account. A Space may be shared with your name, title, organization details, together with all the data included in the Space at the time when the Space is submitted (“Space Submission”).
2.2. You acknowledge that Spaces become public after you share them, and our Users or any third parties will be able to view, copy and make use of the Space. You and/or organization and/or any other person or entity on your behalf, shall not be entitled to any compensation or consideration of any type, for the submission or share of the Space, use of the Space or any other rights granted hereunder by you.
2.3 We reserve the right to review any Space Submission prior to its publication on monday Spaces community website (the “Site”), reject, remove or make any edits or adjustment as we deem fit, at our sole discretion. Please be advised that we are not obligated to review said Space Submissions. We will not assume any responsibility or liability for your Space Submission, including, but not limited to, any data contained therein, and you shall be solely responsible for such Space Submission and the consequences of publishing, using, disclosing, storing or transmitting Spaces.
2.4. By submitting a Space, you hereby grant us and monday.com Users a worldwide, irrevocable, non-exclusive, royalty-free, sublicensable license to host, use, distribute, copy, exhibit, publish, edit, alter, prepare derivative works, and display Spaces, in whole or in part (at our discretion) including without limitation, for providing Spaces for use, publicizing and promoting monday.com services and business, for any other marketing and public relations efforts or for any other lawful purpose, in any media formats (e.g. in-print, websites. electronically, broadcast). To the extent permitted by law, you hereby waive any moral rights in such Space Submission.
2.5. You hereby warrant that the Space you submitted does not and shall not (a) infringe or violate any patents, copyrights, trademarks or other Intellectual Property Rights (as defined under the monday.com Terms of Service), proprietary or privacy, data protection or publicity rights of any third party; (b) violate any applicable data protection or privacy legislation; (c) be offensive, unlawful, violates export control laws, threatening, pornographic, harassing, hateful, or encourages conduct that would be considered a criminal offense, gives rise to civil liability, violate any law, or is in any way inappropriate; (d) promotes illegal activities or violates export control laws; or (e) is otherwise malicious or fraudulent.
2.6. It is monday.com’s policy to respect the legitimate rights of copyright and other intellectual property owners, and we will respond to clear notices of alleged copyright infringement in accordance with our Copyright Policy.
3. Editing or Deleting your monday.com Spaces Submission
You and/or the administrator of your account, may, at any time, delete and/or disable a submitted Space, submitted by you or in case your an administrator submitted by users of your account. Deletion of Space shall be made within reasonable time from time of the request. It is clarified that deletion or disablement of Space will not affect any Spaces that were already used or installed by monday.com Users, prior to your request.
4. Disclaimer of Warranties
THE SITE, MONDAY SPACES, AND ALL CONTENT (REGARDLESS OF WHO GENERATES IT), SITE FUNCTIONALITY, OFFERING, ACTIVITIES ARE PROVIDED BY US OR THIRD PARTIES “AS IS” WITHOUT ANY WARRANTY OR CONDITION, AND WITHOUT THE UNDERTAKING OF ANY DUTY, OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) WARRANTIES OR CONDITIONS OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, AND ANY DUTY (IF ANY) OF WORKMANLIKE EFFORT OR LACK OF NEGLIGENCE, AND PROVIDED: (1) WITH ALL FAULTS AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH YOU; AND (2) WITHOUT ANY ASSURANCE, OR WARRANTY, CONDITION OR DUTY OF OR REGARDING: FUNCTIONALITY; PRIVACY; SECURITY; ACCURACY; AVAILABILITY; LACK OF: NEGLIGENCE, INTERRUPTION, VIRUSES OR OF OTHER HARMFUL CODE, COMPONENTS OR TRANSMISSIONS; OR THE NATURE OR CONSEQUENCES OF AVAILABLE CONTENT SUCH AS (WITHOUT LIMITATION) WHETHER SOFTWARE OR OTHER CONTENT IS SUBJECT TO ANY PARTICULAR LICENSE, OR WHETHER IT IS SUBJECT TO ANY RESTRICTIONS OR CONSEQUENCES THAT MIGHT BE TRIGGERED BY ANY EXERCISE OF A RIGHT GRANTED UNDER THESE TERMS.
5. General
We reserve the right, at our discretion, to change the Terms at any time, terminate monday Spaces or any part thereof at its sole discretion and without liability to you.
