Elevate 2024 Attendee’s Terms and Conditions  

Welcome to the Elevate 2024 Annual Conference organized by monday.com (“Elevate”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“You”, “Attendee”) and monday.com Ltd. (“we”, “monday.com”) governing your attendance and/or participation at Elevate.

1. Registration. By completing the registration process, you confirm that (i) you have provided accurate and true information and that (ii) you and/or your group members are not subject to any restrictions that prevent you from participating in Elevate. monday.com reserves the right not to approve your and/or any of your group members registration and/or restrict your and/or any of your group members access to Elevate at its sole discretion. For group tickets, you agree that you shall also be responsible for your group members compliance with these Terms. It is clarified that registration to Elevate at a particular location and date is only valid for attendance at that specific event, and is not transferable to other Elevate events or venues in other geographical locations. 
2. Age limitation. Elevate is intended and limited to individuals who are over the age of twenty-one (21). By registering or attending Elevate, you approve that you are at least twenty-one (21) years old.
3. Elevate Pass. Entrance to the Elevate venue may be subject to the presentation of a personal valid event pass (“Elevate Pass”). It is your responsibility to ensure that the Elevate Pass is not misused or transferred to other persons.  Your Elevate Pass will be accompanied by a badge with the details you have provided us during the registration.
4. Elevate Agenda. You understand Elevate agenda may be changed or updated. monday.com reserves the right, in its sole discretion, to modify the Elevate agenda, including but not limited to changing or removing sessions, activities, content, schedules, and/or the presence of keynote speakers, hosts, and other personalities. No claim, demand, or compensation shall be considered or accepted for any such changes.
5. Coupon Codes. monday.com may offer you the option to use coupon or discount codes during the payment process (“Coupon Code”). It is your responsibility to ensure that the Coupon Code is applied and reflected correctly in the Registration process. Please note that Coupon Codes cannot be applied retroactively once the registration process is completed. In addition, you warrant that if you realize a Coupon Code, you are permitted to realize such Coupon Code and receive ticket(s) in accordance with your employer’s policy. 
6. Combined Certification Tickets. Elevate may offer tickets which may include access to the monday.com Certification Program. You understand that your access to the Certification Program is governed by the monday.com Certification Program Terms of Service. For Attendees that purchase Combined Certification Tickets until June 1, 2024, access to the Certification Program online training will be granted only on June 2, 2024. For Attendees that purchase Combined Certification Tickets from June 2, 2024 onwards, access to the Certification Program online training will be granted within 30 days from purchase or earlier, in monday.com sole discretion. 
7. Transfer of Tickets. You may only transfer your ticket to another person within your organization. You may do so by accessing your profile page in the Elevate website, and change the relevant participant details or by contacting us here. We may ask you to provide documentation or information that proves that you are the original purchaser and/or that you are authorized to make such changes. We reserve the right to reject any ticket transfer request, at our sole discretion. Other transfers of tickets will not be allowed, unless expressly approved by monday.com
8. Payment. To finalize the registration process, you will be required to provide your payment details to pay for the registration fees, as prompted by the online registration process (“Registration Fees”). By providing any payment details, you represent and warrant that you have the right to share those details with us and you authorize monday.com, either directly or through third parties, to charge and/or collect the Registration Fees from your provided payment method and to make any inquiries that may be necessary to validate your details. It is clarified that the Registration Fees do not include any cost associated with your attendance in Elevate including but not limited to transportation and accommodation. Unless indicated otherwise, Registration Fees are stated in $USD. We reserve the right to change the Registration Fees at any time. In the event of failure to collect the Registration Fees owed by you, we may, at our sole discretion (but shall not be obligated to) retry to collect at a later time, and/or suspend or cancel your participation in any or all in Elevate without notice. The Registration Fees are exclusive of any and all taxes (including without limitation, value added tax, sales tax, use tax, excise, goods and services tax, etc.), levies, or duties, which may be imposed in respect of these Terms and the purchase or sale, of the Service hereunder (the “Taxes”), except for Taxes imposed on our income. If you are located in a jurisdiction which requires  you to deduct or withhold Taxes or other amounts from any amounts due to us, please notify us, in writing, promptly and we shall join efforts to avoid any such Tax withholding, provided, however, that in any case, you will bear the sole responsibility and liability to pay such Tax and such Tax should  be deemed as being added on top of the Registration Fees, payable by you.
9. Cancellation
   1. By monday.com. We reserve the right to reschedule or cancel Elevate, in whole or in part, for any reason, including due to a Force Majeure Event (as defined below). If Elevate is rescheduled or canceled, we will inform you as soon as possible. In these circumstances, you have the option to either receive a full refund for your ticket or accept credits equivalent to the value of your ticket for another monday.com event.
      “Force Majeure Event” shall mean, acts of God, actions of any governmental body (de jure or de facto) (including rule, order, regulation, or direction of a government or local governance body or of any department, agency or commission thereof, whether foreign or domestic or a competent international organization) or acts of public enemy, war (whether declared or not), sensitive security situation, riots, strikes, embargoes, epidemic, pandemic, COVID-19, quarantine, export or import restrictions or quotas, boycotts, sanctions, strikes, fire, earthquake or other natural disasters.
   2. By Attendee. We understand that circumstances can sometimes change unexpectedly. If for any reason you cannot attend Elevate after registering, please email us at elevate@monday.com. If you cancel your participation before or on June 1, 2024, you will receive a full refund of the Registration Fees you paid upon registration. From June 2nd, 2024 to September 1st, 2024, you will have the option to cancel and will be eligible for a full refund, provided you give notice within 24 hours from your purchase. However, please note that after September 1st, 2024, refunds will no longer be issued for cancellations or no-shows. Please note that it may take up to 30 business days for the refunds to be credited back to your account. Notwithstanding anything to the contrary, with respect to Combined Certification Tickets, if you choose to cancel said ticket anc according to the cancellation schedule above, you will be eligible for a refund of their such ticket price minus the cost of the online training program. The cost of the online training program is non-refundable.
10. Intellectual Property. monday.com is the sole owner of all intellectual property rights, including trademarks, copyrights, and any materials or content shared in connection with monday.com and Elevate (“Elevate Materials“). As between you and monday.com, monday.com retains all rights, title, and interest in and to Elevate and to the Elevate Materials. Nothing in these Terms shall be understood as granting you any rights or licenses to use, reproduce, distribute, or display the Elevate Materials and/or any associated monday.com intellectual property. 
11. monday.com Recordings. You authorize monday.com to record your attendance and/or participation in Elevate including but not limited to recording your image, voice, likeness, and testimonial during Elevate (“Recordings”) such recording shall be regarded as. Attendee understands that monday.com is the owner of all rights, including copyrights and derivative rights in the Recordings and such Recording shall be constructed as Elevate Materials. monday.com may use the Recordings or any part thereof, at its discretion, on monday.com’s marketing channels in any media, including its website, social media channels, presentations, and advertisements. 
12. Your Recordings. Unless otherwise requested by monday.com, at its sole discretion, you are allowed to take pictures and videos from Elevate (“Your Recordings”) and you release monday.com from any and all claims and damages arising out of or in connection with the use of Your Recordings. 
13. Your Conduct. You will at all times comply with monday.com’s Event Code of Conduct, your organization’s policies, and any applicable laws (“Elevate’s Code of Conduct”). We may restrict your access to Elevate if it determines, at its sole discretion, that you are behaving in a manner that violates monday.com’s Event Code of Conduct, is in violation of these Terms, or you are otherwise behaving in a manner that is disruptive to Elevate or to other Elevate attendees. It is clarified that, in such a case, you will not be entitled to any form of refund or compensation. 
14. Elevate App.
    1. As part of your participation in Elevate, you are welcome to download and use the dedicated Elevate mobile application, designed to enhance your conference experience by allowing you to view content such as schedules and a dedicated sponsors page, and interact with other participants and sponsors (“Elevate App”). The Elevate App will be available to you via the Apple App Store and Google Play Store.
    2. By using the Elevate App, you acknowledge that other app users may have access to, or re-share, content you publish within the app, view your details, which could include personal data such as your name and accompanying profile information. monday.com reserves the right to set and enforce rules regarding the visibility and accessibility of your personal information within the Elevate App.
    3. By signing in or using the Elevate App, you agree to comply with these Terms and any additional guidelines or rules communicated by monday.com. Your use of the Elevate App is at your own risk, and monday.com disclaims any liability related to the app’s functionality, data privacy, or user interactions.
15. Public Event. You understand that Elevate is a public attendance and may include presence of press and media individuals or organizations. You hereby provide consent that they may capture, record, or publish your image, voice, statements or any form of participation during the course of Elevate. 
16. Promotions.  monday.com may feature competitions and promotions during Elevate (“Promotions“). Participation in Promotions is voluntary and will be subject to the rules and guidelines announced by monday.com during Elevate (“Guidelines”). It is clarified that no purchase is necessary in order to participate in the Promotions. monday.com reserves the right, in its sole discretion, to modify the Guidelines, including but not limited to replacing the listed prizes with an equivalent prize of the same value. monday.com shall not be responsible and/or liable with respect to any aspect pertaining to the Prize, including its nature and quality, or to any damage relating thereto. By participating in the Promotions, you consent to monday.com using and sharing your name, image, company, and any accompanying details of your participation in any media, for marketing or promotional purposes. You represent and warrant that (i) you are permitted to participate in the Promotions and to receive the prizes (where applicable) in accordance with your employer policies and any applicable laws; and (ii) that you will participate in the Promotions in accordance with the Guidelines and in a fair, respectful, and sportsmanlike manner.
17. Forward-looking statements. Elevate may contain “forward-looking statements” within the meaning of the “safe harbor” provisions of the Private Securities Litigation Reform Act of 1995, including but not limited to, statements regarding our financial outlook and market positioning. 18. Your Risk. Your decision to attend and participate in Elevate or in any part thereof is voluntary. monday.com does not assure your admission to Elevate or to any part thereof. Except where stated by monday.com, all Elevate activities operate on a first-come, first-served basis. YOU VOLUNTARILY ACCEPT AND ASSUME ALL RISKS OF ANY PERSONAL INJURY OR DAMAGE TO YOUR PERSONAL PROPERTY THAT MAY OCCUR DURING YOUR ATTENDANCE AT ELEVATE AND HEREBY WAIVE ANY CLAIMS YOU MAY HAVE AGAINST MONDAY.COM OR ANY ELEVATE SPONSOR OR VENDOR RELATING TO SUCH RISKS. 
19. Limitation of Liability. Notwithstanding any other provisions of this Agreement, neither monday.com nor the venue hosting Elevate shall be liable for any special, indirect, incidental, punitive, or consequential damages (including without limitation, loss of profits, loss of business opportunity, or loss of data) arising from or in connection with this Agreement or the performance thereof, whether in an action based on contract, tort, warranty or any other legal theory and whether or not the other party has been notified of the possibility thereof. In no event shall monday.com’s total liability under this Agreement exceed the Registration Fees or the Registration Fees’ amount worth. It is hereby clarified that monday.com shall not be liable for any expenses or costs incurred by you in relation to Elevate including but not limited to transportation or accommodation. Such expenses are not included in the Registration Fees and you shall bear them in full.
20. Disclaimer of Warranties. monday.com expressly disclaims all warranties of any kind in relation to Elevate, whether express or implied, including but not limited to any warranties of attendance outcomes, results, benefits, accuracy, completeness, or reliability of any information provided during Elevate.
21. Privacy.
    1. You consent to and confirm that the details provided by you about yourself our your group members, including, but not limited to, your or your group members name, place of work, association, likeness, photograph, voice, video recording, comments, and country of residence as well  (the “Information“) may be used by monday.com and/or anyone acting on its behalf, for the purpose of performing Elevate and all the related activities and services surrounding Elevate and for promotional and commercial purposes.
    2. You confirm that monday.com will be entitled to share your Information with third parties, including but not limited to contractors, affiliates, commercial partners, other Elevate participants (via the Elevate App)and Elevate sponsors for the purposes mentioned above. Furthermore, you consent that monday.com and/or other third parties as described above may communicate with you from time to time regarding Elevate, and personalized commercial communications. 
    3. Please refer to monday.com’s Privacy Policy, which describes monday.com’s practices and policies related to the collection, use, and storage of personal data. 
22. Elevate Online. These Terms shall also apply to any virtual or online version of Elevate (“Elevate Online“) and all references to “Attendee” within these Terms shall apply to participants of Elevate Online. Where applicable, all obligations, restrictions, and consents outlined in these Terms, including but not limited to those relating to the Attendee’s conduct and privacy considerations, shall apply to Elevate Online.
23. Relationship. These Terms do not create and shall not be construed as creating an employer-employee relationship between monday.com and you, nor any agency, joint venture, or partnership. 
24. Changes to Elevate event. monday.com reserves the right to change the dates, hours, or location of the Elevate, at its sole discretion, and to restrict the number of attendees at the Elevate. monday.com will notify you in writing of any such changes as far in advance as possible.
25. Amendment. monday.com reserves the right to modify these Terms, at its sole discretion.
26. Governing Law; Jurisdiction. These Terms shall be governed by and construed in accordance with the laws of the State of Israel (excluding provisions of conflict of laws) and any dispute arising in connection thereof will be exclusively submitted to the courts situated in Tel-Aviv, Israel.
