(the \u201cCompany,\u201d \u201cwe\u201d or \u201cour\u201d).\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This Statement has been prepared pursuant to Section 54 of the U.K. Modern Slavery Act (2015) and relates to the fiscal period from January 1<\/span><span style=\"font-weight: 400;\">st<\/span><span style=\"font-weight: 400;\">, 2022 through December 31<\/span><span style=\"font-weight: 400;\">st<\/span><span style=\"font-weight: 400;\">, 2022.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">As a global organization, the Company is committed to high standards of ethical conduct and compliance with applicable laws and, as such, has a zero-tolerance approach to modern slavery, child labour and human trafficking.\u00a0 We are further committed to implementing effective systems of controls to ensure modern slavery, child labour and human trafficking are not taking place within our own business or in any of our supply chains. It is our expectation that our suppliers and business partners also conduct themselves in this manner.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This Statement applies to all persons working for us or on our behalf in any capacity, including employees at all levels, directors, agency workers, seconded workers, volunteers, interns, agents, contractors, external consultants, third-party representatives and business partners.<\/span><\/p>\n<h2><b>Business structure and description of supply chain<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The Company globally develops and sells a leading project management tool that enables organisations to manage tasks, projects, and team work on a Software-as-a-Service basis. As of 2022, the Company serves over 150,000 paying customers, including many non-technical organisations.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">In the course of our day to day operations we engage with suppliers of varying sizes and sectors throughout the world, the majority of which are in the US, Europe and Israel, providing mostly technological products and services, marketing services, non-tech services, human resources and facilities services. These suppliers play an integral piece in supporting our growth and sustainability.\u00a0<\/span><\/p>\n<h2><b>Relevant policies<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">We are dedicated to ensuring that our supply chains do not rely on or engage in modern slavery, child labour or human trafficking. To this end, we have formulated, and seek to enforce, a code of conduct for our vendors (the \u201cVendor Code of Conduct\u201d). The Vendor Code of Conduct requires our suppliers to:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">comply with all applicable human rights laws prohibiting child, forced, indentured, or involuntary labour.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">not tolerate or permit harassment within their organizations, in any form, including verbal, physical, or sexual harassment.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">provide equal opportunities in employment, development, and advancement for all qualified persons.\u00a0<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400;\">By requiring our suppliers adherence to the Vendor Code of Conduct, we seek to implement and maintain a robust framework of controls to prevent modern slavery, child labour and human trafficking in our supply chains.\u00a0<\/span><\/p>\n<h2><b>Due diligence in the supply chain<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The Company has overall responsibility for ensuring this Statement complies with its legal and ethical obligations.\u00a0 Management of the Company are given the necessary training in order to understand and comply with this Statement (as discussed further below).<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Company carries out risk assessments in relation to its suppliers and monitors its suppliers\u2019 compliance with the Vendor Code of Conduct as well as any other applicable national regulations. Where the Company identifies potential risks, we seek to increase our internal and external diligence protocols to ensure compliance with the Vendor Code of Conduct and those applicable national regulations. The Company currently assesses our overall risk profile in relation to the Company\u2019s suppliers by referencing several factors, including the geographic location of the Company\u2019s supplier and the industry in which they operate.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Were we to suspect that any of our suppliers are relying on or engaging in modern slavery, child labour or human trafficking, we would terminate our relationship with that supplier and make any necessary reports to the relevant authorities.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Because of the types of services performed by our suppliers, we believe the risk of modern slavery, child labour or human trafficking occurring within the performance of our suppliers\u2019 services to us is low.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">To date, we have received no reports of any incidents relating to modern slavery, child labour or human trafficking in our supply chains.\u00a0\u00a0<\/span><\/p>\n<h2><b>Training, reporting, and communication of this Statement<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">Each of the Company&#8217;s employees and directors are required to adhere to the<\/span><i><span style=\"font-weight: 400;\"> \u201cCode of Conduct and Ethics\u201d <\/span><\/i><span style=\"font-weight: 400;\">(the \u201cCode\u201d).\u00a0 Pursuant to the Code, employees and directors have a duty to report any known or suspected violation of the Code, including violations of the laws, rules, regulations or policies that apply to the Company. Employees are made aware of this through onboarding and through regular training.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">Further to the Code, we also ensure that our key employees are aware of any potential risk of modern slavery, child labour or human trafficking in our supply chains.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Company is committed to developing further robust training and policies that ensure the continual development of our working practices. These policies will be regularly reviewed and communicated to ensure that all personnel are fully aware of their obligations.<\/span><\/p>\n<h2><b>Measures of Success<\/b><\/h2>\n<p><span style=\"font-weight: 400;\">The Company will use the following key performance indicators to measure the effectiveness of its approach to monitoring and combatting modern slavery, child labour and human trafficking:<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Effective deployment of training to key stakeholders.<\/span><\/li>\n<li style=\"font-weight: 400;\" aria-level=\"1\"><span style=\"font-weight: 400;\">Continued development of due diligence procedures and on-going monitoring of key suppliers.<\/span><\/li>\n<\/ol>\n<p>&nbsp;<\/p>\n<p><span style=\"font-weight: 400;\">This Statement has been approved by the Board of Directors of the Company.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">This Statement will be reviewed and published annually.<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-weight: 400;\">Date Approved: February 8, 2023<\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>This Statement (the \u201cStatement\u201d) has been published and is made on behalf of monday.com Ltd.
